IFE Commercial Terms of Use

These terms govern business use of the Irish Fodder Exchange by buyers, sellers, laboratories, testers, contractors and hauliers. They are designed for commercial accounts and should be reviewed by IFE’s Irish solicitor before production launch.

1.Commercial users, authority and electronic signature

The service is available only to persons acting for agricultural, laboratory, testing, contracting, transport or other commercial activities. Each user warrants that the registration information is accurate and that the user has authority to bind the business account. If mandatory law nevertheless treats a user as a consumer, rights that cannot lawfully be excluded remain unaffected.

Each party consents to the use and acceptance of electronic signatures for these terms and IFE transactions. By using the authenticated account, typing the signatory’s full legal name, entering “I AGREE”, selecting the electronic-signature consent and submitting, the signatory confirms an intention to create a legally binding electronic acceptance. IFE records the account, role, terms version, date and time, signing method and an integrity hash.

2.Account roles and access

IFE may verify identity, business status, licences, accreditation, insurance and equipment. Each operational account may hold only one of the mutually exclusive buyer, seller, laboratory or haulier roles unless IFE gives written approval for a controlled exception. Users must not share accounts, credentials or restricted information.

3.Listings, quality and certification

Information supplied to IFE must be accurate, current and not misleading. Sellers remain responsible for the identity, ownership, availability and condition of fodder. A seller may offer feed as QC certified or uncertified. Certified feed must complete IFE’s applicable laboratory process before sale. Uncertified feed is clearly flagged, carries no IFE representation about nutritional content or quality, and may be ordered only after the buyer expressly acknowledges and accepts that status. Laboratories and testers remain responsible for sampling, chain of custody, methods, results and authorised reports. A quality result describes the tested sample and does not transfer legal responsibility for the batch to IFE.

4.Marketplace role

IFE provides commercial matching, quality-control and logistics coordination. Unless expressly stated in an order, IFE is not the producer, owner, laboratory, carrier or insurer of fodder and does not guarantee completion by another user. IFE may rank matches using delivered cost, certified dry matter, nutritional and quality values, batch age, distance, transport and the buyer’s stated production objective.

5.Fees, commission, referrals and payment

Users must pay all subscriptions, listing fees, testing charges, commissions, haulage charges and other amounts shown and accepted through IFE. Prices and taxes must be stated accurately. A payment obligation arising through an IFE introduction remains due even if the parties later communicate, contract, invoice or perform outside the site.

IFE may offer an optional link to open an account with an independent payment provider, including Revolut. IFE may receive a referral fee where the provider’s current programme conditions are satisfied. Account approval, identity checks, regulated payment services, eligibility and any reward are determined solely by the provider. IFE does not promise that a referral fee will be earned and is not acting as the customer’s bank or payment institution.

6.Timed auctions and tenders

IFE may offer fixed-price, timed-auction and tender selling methods. A timed auction may be entered only by an approved buyer whose identity check is complete and who has signed the Auction Participant Agreement electronically. Each bid is binding, is made for the stated lot and quantity, and must be capable of being paid through IFE if it wins. Buyer and seller identities remain protected until an IFE-awarded transaction is accepted.

The seller sets a confidential reserve and auction close time. The highest valid bid at close wins only if it meets the reserve. A valid bid in the final two minutes extends the auction by two minutes, up to ten minutes in total, to reduce last-second bidding. IFE records bid times and may suspend, cancel or review an auction where fraud, error, manipulation, non-payment or a breach of these terms is reasonably suspected.

6.Confidentiality and controlled disclosure

Buyer, seller, farm, laboratory and haulier identities are disclosed only when necessary for an authorised stage of an IFE transaction. Public and pre-award map pins, supplier locations and buyer locations may be deliberately offset by up to 3 km, and definitive farm addresses are withheld. Users must not use anonymous references, redacted certificates, route information, test data or other clues to identify or contact another party prematurely. Full laboratory reports and private batch references must not be disclosed to unauthorised users.

7.Mystery shoppers and integrity testing

To protect marketplace integrity, quality, safety, service standards and billing, IFE may appoint employees, professional advisers, contractors or other authorised persons as mystery shoppers. They may use controlled or pseudonymous test accounts and, without separate advance notice for each interaction, make or respond to genuine or simulated enquiries, listings, quotations, sample submissions, bookings, collections, deliveries, complaints or transactions.

Testing may assess response quality, accuracy, certification, chain of custody, equipment claims, confidentiality, attempts to exchange restricted contact information, pressure to transact off-platform, avoidance of fees or commission, discrimination, safety and compliance with these terms. Platform messages, submissions, quotations, timestamps and transaction records generated during a test may be retained and used in an investigation, quality review or enforcement process.

IFE will keep testing proportionate to these purposes, will not deliberately induce conduct that would not otherwise occur, and will avoid collecting unnecessary personal data. This clause does not authorise covert audio or video recording contrary to law. Users must treat every participant properly and must not attempt to identify, expose, penalise or retaliate against a suspected mystery shopper.

8.Non-circumvention

A user must not directly or indirectly bypass IFE’s matching, communication, ordering, testing, haulage, invoicing or payment process in order to avoid a fee or commission. Prohibited conduct includes sharing concealed contact details, using another person or business as an intermediary, recreating an IFE transaction privately, or approaching a counterparty identified through IFE before authorised release.

Where an IFE-introduced opportunity is completed outside the platform, the fees and commission that would have applied remain payable, together with reasonable recovery costs where permitted by law. This obligation applies during the account relationship and for 12 months after the relevant IFE introduction. It does not prevent a user proving a documented pre-existing commercial relationship that was not obtained or materially advanced through IFE.

9.Haulage and loading

Hauliers must quote against the anonymous transport reference and disclose mileage, payload, trips, equipment, lifting capability, lifting charge, included loading window, delay rate and billing increment. Supplier and buyer pins and address areas shown before award may each be offset by up to 3 km for privacy, so displayed mileage is indicative. The quote form requires acknowledgement of this tolerance. Delay charges apply only after the agreed window and must be supported by platform or delivery records. Exact collection and delivery details may be used only for awarded work and must not be used to circumvent IFE.

10.Monitoring, personal data and records

IFE may process account, communication, transaction and integrity-test data where necessary to provide the service, perform the contract, prevent abuse, establish or defend claims and pursue legitimate interests in a safe and commercially sustainable marketplace. IFE will provide the applicable privacy information, restrict access by role, retain data only as necessary and honour applicable data-protection rights. Users must not upload unnecessary personal data.

11.Intellectual property, copying and automated access

The IFE site, its branding, software, listings, map presentation, photographs, certificates, pricing, matching outputs, market data, documents and other content are protected intellectual property and confidential commercial material where indicated. Except for normal authorised use of the service, no person may copy, reproduce, republish, sell, licence, mirror, scrape, crawl, harvest, data-mine, extract, reverse engineer or create a competing database or service from any part of IFE without IFE’s prior written consent.

IFE may use proportionate technical measures to detect and prevent unauthorised access, including rate controls, verification challenges, blocked access, decoy resources and security logging. IFE will not deploy code intended to damage or interfere with another person’s device or systems.

12.Investigation and enforcement

IFE may investigate suspected misconduct, request documents, pause disclosure of identities or funds, reject a quote or certificate, warn a user, restrict or suspend an account, cancel an opportunity, terminate access and recover unpaid charges. Except where urgent action is required for safety, fraud, data protection or evidence preservation, IFE will give the affected user a reasonable opportunity to respond. Deliberate circumvention, falsified testing or retaliation against an integrity tester may justify immediate suspension.

13.Liability

Nothing excludes liability that cannot lawfully be excluded. Subject to that rule, each user is responsible for its own acts, omissions, products, professional services, vehicles, staff and regulatory compliance. Any final limitation of IFE liability, insurance allocation, indemnity or financial cap must be inserted following legal and insurance review and will form part of the accepted version of these terms.

14.Changes, termination and governing law

IFE may update these terms prospectively and will require renewed acceptance where a change is material. Existing payment, confidentiality, evidence-preservation and non-circumvention obligations survive suspension or termination. These terms and non-contractual disputes are governed by Irish law and subject to the courts of Ireland, unless mandatory law requires otherwise.

Launch requirement: insert IFE’s legal entity name, registered address, company number, VAT details, fee schedule, privacy notice, complaints contact, liability cap and insurance position before accepting live users.
